1. Scope

These Terms and Conditions ("Terms") govern your access to and use of the Intelligent Automation website at intelamation.com and any subdomains we operate (collectively, the "Site"), and the publicly available content we publish here. They do not govern the services we deliver to paying customers — those are governed by a separate Master Services Agreement ("MSA") and any Statement of Work signed between IA and the customer.

2. Acceptance

By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site. If you are accessing the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case "you" refers to that entity.

3. Who May Use the Site

The Site is intended for users 18 years of age or older. By using the Site you confirm you meet this requirement. The Site is operated from the United States and intended primarily for users in the United States; if you access the Site from elsewhere, you do so on your own initiative and are responsible for complying with local laws.

4. Intellectual Property

All content on the Site — including text, graphics, logos, photos, video, software, and the look and feel of the Site — is owned by or licensed to Intelligent Automation, LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may view, download, and print Site content for your personal or internal business reference, provided you keep all copyright and other proprietary notices intact. You may not republish, redistribute, sell, scrape, or otherwise commercially exploit Site content without our prior written permission. "Intelligent Automation," "Argos," "Argos Service," "Argos Red," "Argos Verify," "Argos Alert," and "Argos OS" are trademarks of Intelligent Automation, LLC. Other names mentioned on the Site are trademarks of their respective owners.

5. Acceptable Use

Your use of the Site must comply with our Acceptable Use Policy. In summary: no illegal activity, no harm to others or to the Site, no unauthorized access attempts, no scraping or excessive automated requests, no use of the Site to compete unfairly with IA.

6. Forms, Inquiries, and Submitted Content

If you submit information through a form on the Site (contact, newsletter signup, downloads, scheduling), you confirm the information is accurate and that you are authorized to provide it. We will use that information consistent with our Privacy Policy. If you submit any feedback, ideas, or suggestions about IA or our services, you grant IA a worldwide, royalty-free, perpetual right to use that feedback without obligation to you.

7. Third-Party Links and Content

The Site may contain links to third-party websites or services that we do not control. We are not responsible for the content, accuracy, or practices of any third-party site, and inclusion of a link is not an endorsement.

8. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, IA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IA's TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless IA and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising out of your violation of these Terms or your misuse of the Site.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason — including any violation of these Terms or our Acceptable Use Policy. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) survive.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted at this URL with an updated effective date. Continued use of the Site after a change constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Essex County, New Jersey, and you consent to the jurisdiction of those courts.

14. Miscellaneous

These Terms together with the policies referenced above are the entire agreement between you and IA regarding the Site. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may.
