SMS Terms of Service

Terms governing your use of the Intelligent Automation, LLC SMS support program.

1. Acceptance of Terms

By texting Intelligent Automation, LLC at +1 (855) 533-5445, by replying YES to our opt-in prompt, by enrolling through our customer portal, or by accepting the SMS consent clause in our Master Services Agreement, you ("Customer," "you") agree to these SMS Terms of Service. If you do not agree, do not text our number and reply STOP to any messages you receive from us.

These terms apply specifically to the SMS support program. Other services we provide are governed by their own agreements (typically a Master Services Agreement or Statement of Work).

2. The SMS Program

The Intelligent Automation SMS program ("Program") is a two-way text-messaging support channel between IA and our business customers and the people they authorize. Customers may text our support number with service requests, ticket follow-ups, and operational questions; our team replies through the same number. The Program is operational in nature — not advertising or marketing.

Message types you may receive

Frequency

Message frequency varies based on service activity. We send messages only when there is operational content to communicate. There is no fixed cadence.

3. Eligibility

You must be at least 18 years old and authorized to text on behalf of the Customer business entity to use this Program. By using the Program you represent that you meet these eligibility requirements and that any phone number you provide is owned by, or used with the consent of, the person to whom the number is assigned.

4. Opt-In and Opt-Out

Consent to receive SMS communications from IA is required and is collected through one of the paths described in our SMS Privacy Policy. You may opt out at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, or QUIT to any IA SMS. Once opted out, you will receive a single confirmation message and no further messages until you opt back in.

To re-enable SMS communications after opting out, text START to +1 (855) 533-5445 and follow the opt-in prompts.

5. HELP

Reply HELP to any IA SMS to receive our company name, support line, and customer email for assistance.

6. Fees and Charges

IA does not charge any fee to send or receive messages through the Program. Message and data rates may apply, as charged by your mobile carrier. You are solely responsible for any charges your carrier applies to messages sent or received on your device. Contact your mobile carrier for details about your plan's messaging rates.

8. Service Availability

The Program depends on mobile carrier networks and third-party messaging infrastructure (Twilio, Inc.). IA does not guarantee delivery, timing, or receipt of any particular message. Mobile carriers are not liable for delayed or undelivered messages. Do not rely on SMS for emergencies; for urgent operational issues use our voice line or the emergency contact protocol established in your service agreement.

9. Modifications

We may modify the Program or these terms from time to time. Material changes will be posted at this URL with an updated effective date. Continued use of the Program after a change constitutes acceptance of the modified terms. We may also discontinue the Program (in whole or in part) at our discretion, with reasonable notice where practicable.

10. Termination

You may terminate your participation in the Program at any time by opting out as described in Section 4. We may suspend or terminate your access to the Program if we determine that you have violated these terms or applicable law, or if your phone number has been disconnected or reassigned.

11. Disclaimer of Warranties

THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, IA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IA DOES NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DELAYS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE PROGRAM, INCLUDING ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

13. Indemnification

You agree to indemnify and hold harmless IA and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses arising out of: (a) your use of the Program in violation of these terms or applicable law; or (b) any unauthorized phone number you provide to the Program.

14. Governing Law and Disputes

These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any dispute arising from or relating to the Program will be brought exclusively in the state or federal courts located in Essex County, New Jersey, and you consent to the jurisdiction of those courts.

15. Privacy

Our handling of your phone number, message content, and consent records is described in our SMS Privacy Policy. By using the Program you acknowledge that policy.

16. Contact


These SMS Terms of Service are provided in addition to, and not in place of, our general Privacy Policy and any separate Master Services Agreement between IA and your business. Where the SMS Terms conflict with an MSA on a matter specific to SMS, these terms control for the Program.
